Company creation: The basic requirements

To register a company, the first requirement is to have at least two shareholders. These shareholders can be either Thai or foreign individuals, and together they form the foundation of the company. In addition to shareholders, the company must appoint at least one director. The director is responsible for managing the company’s operations and can be of any nationality.
A registered business address is also essential. This address serves as the company’s official location and must be provided during the registration process. Before the company can be formed, a name must be chosen and approved by the Department of Business Development. The chosen name must be unique and follow the guidelines set by the authorities.
Every company must also state its objectives, which describe the activities it intends to carry out. Most new businesses rely on standard objectives that cover typical commercial operations. Another important element is registered capital. Many companies choose to register one million baht in capital. However a minimum of 2 million baht is required to apply for work permits later on.
Once the company is officially registered, it must complete tax registration. This includes obtaining a company Tax ID, and in some cases registering for VAT depending on the type of business and expected revenue.
